Drafting and negotiating concession agreements for concessionaires and landlords in commercial and retail venues, such as big box, movie theater, shopping mall, strip mall, whether as tenant to the landlord directly (such as for a kiosk in the public areas of a mall), or as subtenant to a tenant (such as a booth, counter or display area in a retail store).

Drafting and negotiating concession agreements in the form of, or combined with, commercial leases.

Familiarity with many different form templates used by different landlords for different types of concession agreements.

Particular attention to provisions of concern to concessionaires, such as a permissible design elements, detailed calculation and description of the square footage clearly demarked on a detailed floor plan, operating hours, permissible merchandise, staff required (if any), the conditions allowing expansion to multiple locations in the same facility (in a possible franchise arrangement).

Familiarity with the NYC Concession Rules (Title 12 of the Rules of the City of New York), governing concession stands in public places, such as on the sidewalks of New York City.

Familiarity with Federal concession and franchise-related laws, such as the Concessions Management Improvement Act (Public Law 105-391), Concession Policy Act (Public Law 89-249) and the Organic Act (Public Law 64-235).
