  • Compliance with domestic preference programs such as the 1933 Buy American Act, 1979 Trade Agreements Act, and subsequent modifications by Executive Orders, such as Trump Executive Order 13811 (“Maximizing Use of American-Made Goods, Products, and Materials”), which makes adjustments to the FAR 25.003 “component test” (initiated under Eisenhower Executive Order 10582) and the FAR 25.5 “evaluation factor”.

 

  • Worked with vendors to tailor various CMS platforms to integrate with existing domestic and international databases.

  • Organized and implemented a new centralized procurement and sourcing group, by parsing the available personnel into five contracting Centers of Excellence (two in the US, three in foreign locations), with a dedicated staff of more than a hundred Senior Managers, Contract Managers and support personnel, making recommendations for the selection of the CMS vendor and platform most-easily integrated  into the company’s existing technology infrastructure, assisting the chosen CMS vendor in customizing the interface and functions to suit the company’s standard procedures, developing new contract templates for the numerous various types of contracts (from professional services to paper clips), developed a related a playbook of talking points for the procurement and sourcing professionals (each section of which coordinated with each sentence or section of each of the new applicable templates in plain English and the language of the native country), and included three negotiating strategies (best for the company, acceptable for the company and only acceptable for the company with management approval) and various fallback negotiating positions, which greatly streamlined the contracting process by reducing the reliance of the negotiators on constant inquiries to corporate lawyers and subject matter experts – SMEs, and developed a contract repository database, searchable throughout the enterprise from all offices of the company throughout the world.  These Centers of Excellence currently process at least 7,000 contracts per year combined.

  • Compliance with the Commerce Control List (CCL), Electronic Code of Federal Regulations (e-CFR) Title 15 – Commerce and Foreign Trade, Export Administration Regulations (EAR), and related Federal Register Notices.

  • Provided legal advice regarding terms and conditions for government prime contracts and sub-contracts, teaming agreements, joint ventures and other business arrangements, negotiated claims, and trained sales personnel.

  • Corporate Secretary and/or General Counsel for many small businesses, commercial and construction-related Women-owned Business Enterprises (WBEs), Minority-owned Business Enterprises (MBEs) and private construction companies.

 

  • Legal advice regarding the five-step analysis for revenue recognition issues pursuant to the Financial Accounting Standards Board (FASB) ASC 606-10-05-3.

  • Implemented corporate policies and programs for compliance with various privacy and data security regulations.
